Welcome to DigitalTable. These Terms and Conditions constitute a legally binding agreement between DigitalTable and the restaurant, business, or individual ("Merchant," "you," or "your") accessing and using the DigitalTable point-of-sale software and related services (collectively, the "Service").
By registering for an account or using the Service, you agree to be bound by these Terms.
1. Description of Service
DigitalTable is a cloud-based restaurant management and point-of-sale software platform. The Service enables Merchants to manage restaurant operations, menus, and billing, and provides a feature allowing end-customers ("Diners") to view menus and place orders by scanning a QR code located at their table.
DigitalTable provides software only. We do not process physical food orders, prepare food, or act as a merchant of record for Diner transactions.
2. Hardware and Infrastructure Disclaimer
DigitalTable is exclusively a software-as-a-service (SaaS) provider.
- No Hardware Provided: We do not sell, lease, provide, or maintain any hardware, including but not limited to tablets, computers, smartphones, receipt printers, kitchen display screens, or networking equipment.
- Merchant Responsibility: You are solely responsible for procuring, maintaining, and securing compatible hardware and a stable, high-speed internet connection required to use the Service. DigitalTable is not liable for service disruptions caused by your hardware failures, local network issues, or internet service provider outages.
3. QR Code Ordering and Merchant Obligations
The Service allows Diners to order directly via QR codes. As the Merchant, you agree to the following:
- Menu and Pricing Accuracy: You are solely responsible for updating and maintaining the accuracy of your digital menu, prices, item descriptions, and tax rates.
- Allergens and Dietary Information: You are responsible for accurately displaying allergen warnings and dietary information. DigitalTable assumes no liability for allergic reactions, illness, or injury resulting from food consumed by Diners.
- QR Code Security: You are responsible for generating, printing, and physically displaying the QR codes in your venue. You must regularly inspect your physical QR codes to ensure they have not been covered, tampered with, or replaced by malicious third parties (e.g., fraudulent payment links). DigitalTable is not liable for damages or lost revenue resulting from tampered physical QR codes.
- Order Fulfillment: DigitalTable merely transmits Diner orders to your system. You are fully responsible for accepting, preparing, and delivering the food and beverages to the correct table in a timely manner.
4. End-Customer (Diner) Disputes and Refunds
Because DigitalTable is solely a software provider:
- We do not mediate disputes between you and your Diners.
- Any complaints regarding food quality, wait times, incorrect orders, or customer service must be resolved directly between the Merchant and the Diner.
- You are responsible for issuing any necessary refunds, voids, or discounts through the software in accordance with your own restaurant policies.
5. Payments and Third-Party Gateways
DigitalTable integrates with third-party payment gateways (e.g., Stripe, Razorpay, Square) to facilitate digital payments from Diners.
- We do not hold, process, or transmit your funds.
- Your use of payment processing features is strictly subject to the terms, conditions, and fees of the respective third-party payment gateway.
- DigitalTable is not responsible for delayed payouts, frozen accounts, or transaction errors caused by the payment processor.
6. DigitalTable Fees and Billing
- Subscription Fees: Use of the Service is subject to the payment of subscription fees as selected during your account registration. All fees are billed in advance on a [Monthly/Annual] basis.
- Taxes: You are responsible for all applicable local, state, and national taxes associated with your subscription to DigitalTable.
- Non-Refundable: Unless otherwise required by law, all subscription fees paid to DigitalTable are non-refundable, including for partial months of service or unused features.
7. Data Ownership and Privacy
- Merchant Data: You retain ownership of all data you input into the Service, including menu items, pricing, and sales history. You grant DigitalTable a license to use, store, and process this data to provide the Service.
- Diner Data: You are the data controller for any personal information collected from Diners (e.g., phone numbers, emails). You must comply with all applicable data privacy laws regarding the collection and marketing use of Diner data.
- Aggregated Data: DigitalTable reserves the right to anonymize and aggregate Service usage data to improve our software and for industry reporting purposes.
8. Warranties and Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DIGITALTABLE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF BUGS OR SECURITY VULNERABILITIES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DIGITALTABLE, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL DIGITALTABLE'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO DIGITALTABLE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless DigitalTable from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any claims made by a Diner regarding your food, service, or premises; or (d) your violation of any applicable laws or regulations.
11. Term and Termination
- Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing cycle.
- Termination by Us: We reserve the right to suspend or terminate your account immediately, without notice or refund, if you breach these Terms, engage in illegal activities, or fail to pay subscription fees.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Lucknow, INDIA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Lucknow, INDIA.
